Terms of Service

These Terms of Service ("Terms") govern your use of "Towa" (the "Service"), an AI psychological coaching application provided by Noah's Ark Workshop, Inc. ("Company", "we", "us"). By using the Service, you agree to these Terms.

1. Application

These Terms apply to all aspects of your use of the Service. Additional guidelines may form part of these Terms. In case of conflict, specific provisions prevail.

2. Nature of the Service

• The Service provides information and advice based on psychological research.
• The Service does NOT constitute medical practice, medical diagnosis, psychotherapy, psychiatric treatment, or counseling.
• AI responses are not a substitute for professional judgment by physicians, licensed psychologists, mental health professionals, or other qualified practitioners.
• If you have significant mental or physical health concerns, please consult appropriate medical or professional institutions.

3. Eligibility and Registration

• You must be at least 18 years old to use the Service.
• We may refuse registration if you provide false information, have past violations, are under 18, are an organized crime group or its associate, or for other reasons we deem inappropriate.

4. Pricing and Credits

• The Service uses a hybrid subscription + credit model.
• Plans (prices in JPY base, foreign currency display follows platform exchange rates):
• Standard: ¥980/month, 80 credits/month
• Premium: ¥2,480/month, 200 credits/month
• Each AI message consumes 1 credit.
• Add-on credit packs (one-time purchase): ¥500/30, ¥1,000/70, ¥2,000/180.
• Monthly credits reset at the start of each billing period; unused credits do not roll over.
• Add-on credits expire 60 days from purchase.
• No free plan. No free trial.
• Payment is through Apple In-App Purchase (iOS) or Google Play Billing (Android) only.

5. Service Provision

• The Service primarily offers AI chat-based psychological advice.
• AI responses are based on current research but we do not guarantee effectiveness for every user.
• In case of force majeure or system failure, we will provide reasonable notice.

6. Prohibited Conduct

• Reproducing, sharing, or publishing Service content, AI responses, or data
• Reselling or commercial use
• Unauthorized access, analysis, modification, or reverse engineering
• Prompt injection or system interference
• Infringing our or third parties' rights
• Violating laws or public morals
• Using the Service as a means of self-harm, suicide, or harm to others
• Impersonation
• Multiple unauthorized accounts

7. Intellectual Property

• All content, AI responses, data, UI, and design provided through the Service belong to us or rightful owners.
• You may not use information obtained through the Service beyond personal use.

8. Cancellation

• You may cancel anytime via Apple App Store or Google Play subscription settings.
• No refund will be issued for paid periods after cancellation; the Service continues until the end of the period.
• If you do not cancel before the next renewal date, the subscription auto-renews.
• We may suspend or terminate your account without prior notice if you violate these Terms.

9. Refund Policy

• Due to the nature of digital content, refunds are generally not provided.
• Refund requests are primarily governed by the platform's (Apple/Google) refund policies.

10. Privacy

• We handle your personal information in accordance with our separate Privacy Policy.
• By using the Service, you agree to the Privacy Policy.

11. Disclaimer

• We do not guarantee the Service is suitable for your specific purpose.
• We do not guarantee the accuracy, completeness, usefulness, fitness for a particular purpose, or non-infringement of AI responses.
• We are not liable for the consequences of you acting on AI responses.
• Our liability for damages is limited to the amount you paid in the immediately preceding one-month period, except in cases of our willful misconduct or gross negligence.

12. Emergency Situations

The Service is NOT intended for emergencies including suicidal ideation, severe self-harm, harm to others, or acute psychiatric symptoms.

13. California Residents Rights (CCPA)

California residents have the following rights under CCPA:

• Right to know what personal information is collected
• Right to delete personal information
• Right to opt-out of sale (we do not sell personal information)
• Right to non-discrimination for exercising these rights

14. Arbitration and Class Action Waiver (US Residents)

• Any dispute relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, not by court litigation.
• YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.
• The arbitration venue is San Francisco, California.
• This provision becomes effective when you accept these Terms upon registration.

15. Service Changes and Termination

• We may modify, add, or remove Service features upon prior notice.
• We may terminate the Service for reasonable causes upon prior notice.

16. Changes to Terms

• We may modify these Terms as needed.
• By continuing to use the Service after changes, you accept the modified Terms.

17. Severability

If any provision is held invalid or unenforceable, the remaining provisions remain fully effective.

18. Governing Law and Jurisdiction

• These Terms are governed by Japanese law.
• For Japanese residents, the Yokohama District Court has exclusive jurisdiction.
• For US residents, Section 14 (Arbitration) takes precedence.
• For other countries, jurisdiction lies with courts in Japan where the Company is located.
